# 1. Scope of Services
The Designer agrees to provide website design, development, maintenance, consulting, integrations, and/or related digital services as outlined in the approved proposal, quote, invoice, or written agreement between both parties.
All deliverables, timelines, integrations, revisions, and launch expectations will be based on the specific project scope agreed upon prior to the start of work.
Any work requested outside the agreed scope may require a revised quote, timeline adjustment, or additional invoice.
# 2. Minimum Project Investment & Pricing
As of June 1, 2026:
* New client projects have a minimum booking requirement of $1,000 CAD.
* Standard website page pricing begins at $500 CAD per page unless otherwise specified in writing.
* Additional services, integrations, copywriting, SEO, branding, maintenance, troubleshooting, or consulting may be billed separately.
Quotes remain valid for 30 calendar days unless otherwise stated.
Any quote provided prior to June 1, 2026 may be honoured until June 30, 2026 at the Designer’s discretion if the Client has confirmed intent to proceed and submitted a deposit.

# 3. Deposits & Payment Terms
A non-refundable deposit is required before any work begins.
Unless otherwise agreed in writing:
* Projects under $1000 require full payment upfront.
* Projects over $1000 may be split into milestone payments.
* Remaining balances must be paid prior to website transfer, launch, or handover.
Invoices are due within the timeframe stated on the invoice.
Late payments may pause all work until payment is received.
The Designer reserves the right to withhold:
* Website launch
* Transfer of ownership
* Login credentials
* Website files
* Connected integrations
* Final deliverables
until all invoices are paid in full.

# 4. Branding & Asset Preparedness Policy
To ensure project efficiency and quality outcomes, Clients are strongly encouraged to provide the following before project start:
* Brand guidelines
* Copy/content
* Marketing framework or messaging
* Logos and visual assets
* Photography and media files
If a Client does not provide branding direction or foundational assets, the Client must choose one of the following options:
•Option A — Designer-Led Creative Direction
The Client agrees to relinquish primary creative control to the Designer.
Under this option:
* The Designer will make creative decisions based on the consultation process and business goals.
* No complimentary design revisions are included outside of functionality, responsiveness, accessibility, or technical corrections.
* The delivered design is considered final unless the Client wishes to purchase additional revision rounds.
•Option B — Branding Preparation Add-On
The Client may purchase a $500 CAD branding preparation add-on.
This includes:
* An additional strategy and branding session
* Foundational brand direction development
* Basic visual and messaging guidance
* Up to three (3) rounds of design revisions included within the project
The Designer reserves the right to prioritize projects from Clients who arrive with completed branding, copy, and visual assets prepared in advance.

# 5. Client Responsibilities
The Client agrees to:
* Provide all requested materials in a timely manner
* Review work promptly
* Maintain communication throughout the project
* Ensure they have legal rights to all submitted content and media
* Provide accurate information and feedback
Delays in communication, missing assets, or delayed approvals may impact timelines.
The Designer is not responsible for delays caused by missing client materials, third-party platforms, hosting providers, domain providers, plugin conflicts, or external software issues.

# 6. Revision Policy
Revision rounds included in a project are determined by the selected package, proposal, or branding preparedness option.
A revision round consists of a consolidated list of requested changes submitted at one time.
Additional revisions beyond those included may be billed at the Designer’s current hourly rate.
Requests that substantially alter the original approved direction or scope may require a new quote.

# 7. Draft Approval & Final Payment Timeline
The Designer will provide a first complete website draft or preview for review prior to final revisions and launch.
Unless otherwise agreed in writing, the remaining project balance becomes due within thirty (30) business days of delivery of the first full draft.
This policy exists to prevent projects from remaining inactive indefinitely and to protect scheduling timelines for other clients.
If:
* the Client becomes unresponsive,
* approvals are significantly delayed,
* required materials are not submitted,
* or the project extends beyond sixty (60) calendar days after the first full draft delivery,
then the project may be considered dormant.
Dormant projects are subject to:
* timeline rescheduling,
* reduced priority placement,
* updated pricing if applicable,
* and a mandatory $250 CAD restart fee before work resumes.
The Designer may waive or adjust this fee in cases involving emergencies, medical situations, or other reasonable circumstances communicated promptly by the Client.

# 8. Website Launch & Handover
Final website transfer, launch, or handover will occur only after:
* all balances are paid,
* final approvals are received,
* and all required assets/accounts have been provided.
The Client is responsible for maintaining:
* domain registrations,
* hosting accounts,
* third-party subscriptions,
* plugin licenses unless otherwise stated.
The Designer is not liable for interruptions caused by expired services, failed renewals, hosting outages, third-party software updates, or platform changes.

# 9. Maintenance & Support
Unless otherwise specified in writing, ongoing maintenance, edits, troubleshooting, or support are not included after launch.
Any future support may be billed separately under:
* hourly support,
* monthly maintenance,
* or retainer agreements.
The Designer does not guarantee uninterrupted website functionality due to evolving software, plugin, browser, hosting, or platform updates.

# 10. Intellectual Property
The Client retains ownership of all content, branding, and materials they provide.
The Designer retains ownership of:
* proprietary workflows,
* templates,
* processes,
* reusable code,
* and pre-existing intellectual property.
Upon final payment, the Client receives rights to use the completed website deliverables for their business.
The Designer reserves the right to display completed work in portfolios, social media, case studies, marketing materials, and promotional content unless otherwise agreed in writing.

# 11. Third-Party Services
Projects may involve third-party platforms or tools including but not limited to:
* WordPress
* Shopify
* Webflow
* Framer
* Elementor
* Breakdance
* Thinkific
* Brevo
* Zapier
* hosting providers
* plugins and integrations
The Designer is not responsible for outages, pricing changes, policy changes, discontinued features, security vulnerabilities, or technical issues originating from third-party providers.
Any additional troubleshooting caused by third-party software conflicts may be billed separately.

# 12. Cancellation & Termination
Either party may terminate the project in writing.
If the Client terminates the project:
* all completed work up to the termination date remains billable,
* deposits are non-refundable,
* and any unpaid balances become immediately due.
If the Designer terminates the project due to harassment, repeated non-payment, lack of communication, or breach of agreement, the Client will receive completed work proportional to payments received.

# 13. Limitation of Liability
The Designer shall not be held liable for:
* lost profits,
* business interruption,
* data loss,
* SEO performance fluctuations,
* hacking,
* software failures,
* or indirect damages resulting from website use or downtime.
The Client agrees to maintain their own backups, insurance, legal compliance, and business protections.

# 14. Communication & Professional Conduct
Both parties agree to maintain respectful and professional communication.
Project timelines depend heavily on collaboration, timely feedback, and responsiveness from both parties.
The Designer values transparency and open communication and encourages Clients to raise concerns early so solutions can be worked through collaboratively.
